1. Acceptance of Terms

By accessing or using Restockd (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you may not access the Service.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on Restockd's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not: modify or copy the materials; use the materials for any commercial purpose, or for any public display (commercial or non-commercial); attempt to decompile or reverse engineer any software contained on Restockd's website; remove any copyright or other proprietary notations from the materials; or transfer the materials to another person or "mirror" the materials on any other server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by Restockd at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

3. Disclaimer

The materials on Restockd's website are provided on an 'as is' basis. Restockd makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Further, Restockd does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.

4. Limitations

In no event shall Restockd or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Restockd's website, even if Restockd or a Restockd authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

5. Accuracy of Materials

The materials appearing on Restockd's website could include technical, typographical, or photographic errors. Restockd does not warrant that any of the materials on its website are accurate, complete or current. Restockd may make changes to the materials contained on its website at any time without notice. However Restockd does not make any commitment to update the materials.

6. Links

Restockd has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Restockd of the site. Use of any such linked website is at the user's own risk.

7. Modifications

Restockd may revise these terms of service for its website at any time without notice. By using this website you are agreeing to be bound by the then current version of these terms of service.

8. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of [Jurisdiction] and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

9. Affiliate Disclosure

As an Amazon Associate and eBay Partner Network Affiliate, we earn from qualifying purchases. We may also earn revenue from affiliate links, advertising, and other promotional content displayed on the site.

10. End User License Agreement (EULA) for Mobile Application

This End User License Agreement ("EULA") section governs your use of the Restockd mobile application ("Application") provided by Restockd ("Licensor"). This EULA is part of the overall Terms of Service.

a. Scope of License

Licensor grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Application solely for your personal, non-commercial purposes strictly in accordance with these Terms (including this EULA).

b. License Restrictions

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Application or make the Application available to any third party.
• Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Application.
• Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Licensor or its affiliates, partners, suppliers, or the licensors of the Application.
• Use the Application for any purpose that is illegal, fraudulent, or prohibited by these Terms.

c. Objectionable Content and User Conduct

Restockd maintains a zero-tolerance policy regarding objectionable content and abusive users. You agree not to use the Service or Application to send, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable. You further agree not to engage in any behavior that is abusive, harassing, or harmful towards other users or Restockd staff.

d. Content Moderation and Enforcement

Restockd reserves the right, but has no obligation, to monitor content submitted by users and to remove any content or terminate user accounts that violate these Terms, specifically including Section 10.c, at its sole discretion and without notice. Violation of these terms may result in immediate termination of your license to use the Application and suspension or deletion of your account.

e. Intellectual Property

The Application, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights are, and shall remain, the sole and exclusive property of the Licensor.

f. Updates

Licensor may from time to time provide enhancements or improvements to the features/functionality of the Application, which may include patches, bug fixes, updates, upgrades, and other modifications ("Updates"). Updates may modify or delete certain features and/or functionalities of the Application. You agree that Licensor has no obligation to (i) provide any Updates, or (ii) continue to provide or enable any particular features and/or functionalities of the Application to you.

g. Termination

This EULA is effective until terminated by you or Licensor. Licensor may, in its sole discretion, at any time and for any or no reason, suspend or terminate this EULA with or without prior notice. This EULA will terminate immediately, without prior notice from Licensor, in the event that you fail to comply with any provision of this EULA. Upon termination, you shall cease all use of the Application and delete all copies of the Application from your mobile device. Termination of this EULA will not limit any of Licensor's rights or remedies at law or in equity in case of breach by you (during the term of this EULA) of any of your obligations under the present EULA.

11. User Content

Parts of the Service, including Spotted, let you post content such as sightings, comments, and photos ("User Content"). You keep ownership of your User Content. By posting it, you grant Restockd a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute it in connection with operating and promoting the Service. You are responsible for your User Content and confirm that you have the rights needed to post it.

12. Community Guidelines

These guidelines apply to Spotted and anywhere else you can post on the Service. By posting, you agree to follow them.

• Report only sightings you have actually seen, at the store where you saw them. Do not post stock you have not seen or pass off someone else's report as your own.
• No harassment, threats, hate, or abuse toward other members, store staff, or anyone else.
• No spam, advertising, referral codes, or links.
• No personal information about other people, including names, contact details, or where someone can be found.
• No photos of people. Keep photos to the product and the shelf.
• No automated posting, scripted confirmations, or multiple accounts.
• Use the report tools for content that breaks these guidelines instead of responding in kind. You can also block members whose content you do not want to see.

You grant Restockd a license to display content you post, as described in Section 11. We may remove content and restrict or suspend a member's access to Spotted or the Service at our discretion, with or without notice. Spotted credits have no cash value, cannot be transferred or exchanged, and may be adjusted, reversed, or removed at any time.
